TERMS AND CONDITIONS OF USE FOR SUGGL.COM

1. BINDING CONTRACTUAL RELATIONSHIP

These Terms and Conditions of Use (“Terms”) constitute a legally binding and enforceable agreement between you (“User”, “You”, or “Member”) and the Natural Person Platform Operator of SUGGL (“Platform”, “We”, “Us”, or “Our”). By accessing the website suggl.com, creating a user account, or utilizing any features, tools, or services provided herein, you expressly acknowledge and represent that you have read, understood, and voluntarily agreed to be bound by these Terms in their entirety.

THESE TERMS ARE INSEPARABLY LINKED WITH OUR PRIVACY POLICY; BOTH DOCUMENTS CONSTITUTE A SINGLE LEGAL FRAMEWORK GOVERNING YOUR USE OF THE PLATFORM. If you object to any provision contained herein, you are expressly prohibited from utilizing the Platform and must terminate your access immediately.

2. OPERATOR IDENTITY AND RIGHT TO TRANSFER

• Natural Person Status: The Platform is currently managed and operated by a natural person. You acknowledge that, at the present stage, there is no corporate entity or legal personhood associated with the service. All legal relations, rights, and obligations under these Terms are established directly with the individual operator.
• Transfer of Agreement and Data: We reserve the right to transfer, assign, or delegate this agreement, including all associated user data and intellectual property, to a legal corporate entity or a third party at any time. Notwithstanding any previous provisions, such a transfer shall be conducted by providing reasonable prior notice to Users via the Platform or registered email addresses, in accordance with applicable data protection laws (KVKK/GDPR).

3. ELIGIBILITY AND MANDATORY REPRESENTATIONS

Access to the Platform is strictly conditional upon the following criteria. By registering, you warrant that:

• Minimum Age: You are at least 18 years of age or have reached the age of legal majority in your jurisdiction.
• Legal Capacity: You possess the full legal capacity and authority to enter into this binding contract.
• Criminal Record Declaration: You represent and warrant that you have never been convicted of, nor are you currently subject to any legal proceedings regarding:
  • Crimes against sexual inviolability (cinsel dokunulmazlığa karşı suçlar),
  • Intentional injury or violence (kasten yaralama veya şiddet),
  • Fraud, embezzlement, or theft (dolandırıcılık, yağma veya hırsızlık),
  • Any offense involving the exploitation of minors or "revenge porn" related activities.
• Verification and Liability Disclaimer: You acknowledge that the Platform Operator has no legal or technical obligation to verify the accuracy of your criminal record or background. Any misrepresentation or false declaration regarding your background is your sole responsibility. All legal and criminal liability arising from false declarations lies exclusively with the User, and the Operator shall be held harmless in any such event.

4. ACCOUNT SECURITY AND CONFIDENTIALITY

• Credentials: You are exclusively responsible for maintaining the confidentiality of your login information. You may not share your account or password with any third party.
• Account Responsibility: You acknowledge that you are 100% liable for all activities, communications, and transactions occurring under your account.
• Notification of Breach: You agree to notify us immediately at info@suggl.com if you suspect any unauthorized access or security breach regarding your account.

5. AMENDMENTS TO THE TERMS

• Right to Modify: We reserve the right to revise, update, or modify these Terms at our discretion to reflect changes in law or service functionality.
• Notice Period: For any material changes that significantly affect your rights or obligations, we will provide at least thirty (30) days’ prior notice via a prominent announcement on the Platform or through direct email communication.
• Acceptance of Changes: Your continued use of the Platform following the effective date of the updated Terms constitutes your full and irrevocable acceptance of the modifications.

6. USER CONDUCT AND COMMUNITY DECENCY STANDARDS

To maintain a secure, respectful, and transparent environment, you agree to strictly adhere to the following conduct and content standards. Any breach of these rules constitutes a material violation of these Terms:

• Prohibited Conduct: You shall not bully, stalk, intimidate, assault, harass, or defame any other user. The dissemination of hate speech, discriminatory content, or inciting violence is strictly prohibited.
• Non-Consensual Imagery (Zero-Tolerance): You are strictly prohibited from posting, sharing, or threatening to share any intimate or sexually explicit images or videos of another person without their prior express and documented consent. The Platform maintains a zero-tolerance policy regarding non-consensual sexual content (revenge porn), and such actions will result in immediate termination and potential legal reporting to authorities.
• Defined Community Decency Standards: All User-Generated Content (UGC), particularly profile photographs and public descriptions, must comply with our decency standards. The following content is expressly prohibited:
  • Nudity and Sexual Content: Any imagery depicting full or partial nudity, explicit sexual acts, or highly suggestive/indecent poses.
  • Graphic Violence: Any imagery or text depicting graphic violence, blood, gore, or self-harm.
  • Illegal or Harmful Content: Any content promoting illegal activities, substances, or dangerous behaviors.
  • Misleading Information: Content designed to deceive, defraud, or mislead other users regarding your true identity or intentions.
• Commercial Exploitation: You may not use the Platform for any commercial, advertising, or solicitation purposes, including but not limited to "spamming," multi-level marketing (MLM), or directing users to external commercial services or adult-oriented websites.
• Data Integrity: You shall not use any automated means (robots, spiders, or scripts) to access, scrape, or index any part of the Platform or its users' data.

The Platform Operator reserves the sole and absolute discretion to determine whether any content violates these defined standards and to remove such content immediately without prior notice.

7. FAKE PROFILES AND COMMUNITY INTEGRITY

• Strict Verification: The Platform Operator maintains a zero-tolerance policy regarding fraudulent accounts, bots, and misrepresentation.
• Discretionary Suspension: If the Platform Operator has a reasonable suspicion—based on user reports, behavioral analysis, or technical flags—that a profile is fake or created for fraudulent purposes, we reserve the right to suspend or terminate the account immediately.
• Preservation of Security: You acknowledge that the Operator is not required to disclose the specific internal security methods used to identify such profiles, as disclosure would compromise the Platform’s defense mechanisms.

8. TERMINATION AND SUSPENSION FOR JUST CAUSE

• Right to Terminate for Just Cause: The Platform Operator reserves the right to suspend or permanently terminate your access to the Platform for just cause (haklı sebep). Just cause includes, but is not limited to:
  • Any material breach of these Terms or the linked Privacy Policy.
  • Violation of the "Community Decency Standards" defined in Section 6, including harassment, stalking, or the sharing of non-consensual imagery.
  • Fraudulent activities, including the creation of fake profiles, automated bot usage, or deceptive identity representations.
  • Conduct that violates applicable local or international laws and regulations.
  • Behavior that poses a direct or indirect risk to the safety, privacy, or technical security of other users or the Platform Operator.
• Immediate Action and Notice: In cases of severe breach (e.g., fraud, minor endangerment, or threats of violence), termination may occur immediately and without prior notice to prevent further harm to the community. In all other cases, we will endeavor to provide a brief explanation for the termination where legally and technically feasible.
• Appeal Mechanism: If you believe your account has been suspended or terminated in error, you have the right to submit a formal appeal to info@suggl.com within fourteen (14) calendar days of the termination. The Platform Operator will review the appeal in good faith. You acknowledge that the final decision remains at the sole discretion of the Operator, and filing an appeal does not guarantee the restoration of the account.
• Consequences of Termination: Upon termination:
  • Your right to utilize the Platform and its features ceases immediately.
  • All User-Generated Content may be permanently deleted in accordance with our data minimization policies.
  • You are strictly prohibited from creating new accounts. Any attempt to circumvent a ban will result in the immediate termination of the new account and may lead to legal action.
  • As per Section 11, any remaining credits, subscriptions, or virtual balances will be forfeited without refund.

9. LIMITATION OF LIABILITY (TBK 115 COMPLIANCE)

• Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM OPERATOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
• Scope of Liability: EXCEPT IN CASES OF THE OPERATOR'S INTENT (KASIT) OR GROSS NEGLIGENCE (AĞIR İHMAL), WE SHALL HAVE NO LIABILITY FOR ANY LOSS, HARM, OR DAMAGE RESULTING FROM TECHNICAL FAILURES, UNAUTHORIZED DATA ACCESS, OR USER INTERACTIONS.
• User-to-User Interactions: You are solely and exclusively responsible for your interactions with other users. The Platform Operator is NOT a party to any agreements, disputes, or incidents occurring between users, whether online or offline.
• Financial Caution: The Platform Operator is not responsible for any financial loss resulting from scams or unauthorized money transfers conducted between users. We strongly advise against sharing financial details or sending money to any person met on the Platform.

10. FEES AND PAYMENT TERMS

The Platform may offer premium features, virtual credits, or subscription-based services.

• Authorized Payment Processors: All payments shall be processed exclusively through authorized third-party payment service providers. By initiating a transaction, you agree to comply with the terms and conditions of the respective payment processor.
• Pre-paid Nature: All services are provided on a pre-paid basis. Access to premium features is granted only upon successful confirmation of payment by the third-party processor.
• Pricing Adjustments: The Platform Operator reserves the right to adjust the pricing for any paid service at any time. Material changes in pricing for ongoing subscriptions will be notified to Users in accordance with Section 5 (Amendments) of these Terms.

11. REFUND POLICY AND STATUTORY WAIVER OF THE RIGHT OF WITHDRAWAL

• Nature of Digital Services: You expressly acknowledge and agree that all premium features, virtual credits, and digital subscriptions provided on the Platform constitute "services performed instantaneously in the electronic environment" and "intangible goods delivered immediately to the consumer." Due to the immediate nature of these digital assets, they are considered consumed or activated at the moment of purchase or delivery to your account.
• Strict No-Refund Policy: ALL PURCHASES ARE FINAL AND NON-REFUNDABLE. To the maximum extent permitted by applicable law, no refunds, credits, or pro-rata adjustments will be issued for partially used periods, unused virtual credits, or general dissatisfaction with the service. This "no-refund" rule remains effective regardless of whether the account was terminated by the User or by the Platform Operator for "Just Cause" (as defined in Section 8).
• Mandatory Local Laws: While these Terms are governed by Turkish Law, we acknowledge that certain jurisdictions may have mandatory consumer protection laws that grant specific refund rights which cannot be waived by contract. In such cases, our no-refund policy shall only be limited to the extent required by those specific and mandatory legal provisions.
• Waiver of the Right of Withdrawal (Cayma Hakkı): In accordance with Article 15(ğ) of the Turkish Regulation on Distance Contracts (Mesafeli Sözleşmeler Yönetmeliği), the Right of Withdrawal cannot be exercised for services that are initiated with the consumer's prior explicit consent before the expiration of the statutory 14-day withdrawal period.
• Technical Prerequisite for Purchase (The Checkbox Condition): You acknowledge that the Platform's payment interface is strictly designed to enforce this waiver. The completion of any transaction is conditioned upon your active checking of a specific confirmation box. By checking this box, you provide your:
  1. Prior Explicit Consent for the immediate performance of the service.
  2. Express Acknowledgment that you lose your statutory right of withdrawal once the digital service is initiated. Failure to provide this technical consent will result in the automatic cancellation of the transaction.
• Forfeiture of Balance upon Account Termination: If your account is suspended or terminated for "Just Cause" (e.g., harassment, fraud, or violation of Community Decency Standards), any remaining balance, active subscriptions, or virtual credits shall be forfeited immediately. You expressly waive any claim for compensation or refund in the event of such a termination.

12. USER-GENERATED CONTENT (UGC) LICENSE

• Grant of License: While you retain ownership of the intellectual property rights in the content you post (photos, bio, public descriptions), by uploading such content, you grant the Platform Operator a non-exclusive, royalty-free, and worldwide license to use, host, store, reproduce, modify, and display your profile content solely to facilitate and operate our services.
• Limited Duration (Privacy Alignment): This license is strictly limited to the duration for which your account remains active. Upon the permanent deletion of your account or the specific content by the User, this license shall terminate automatically, except where the content has been previously shared with third parties or indexed by external search engines beyond the Operator's direct control.
• Promotional Use and Opt-Out Period: This license includes the right for the Operator to utilize public profile snippets (e.g., username, public photos) for promotional and marketing purposes on partner sites or social media channels. You have the right to opt-out of such promotional usage at any time by contacting info@suggl.com.
  • Processing Time: Upon receipt of a valid opt-out request, the Platform Operator will process and finalize the removal of your content from future promotional materials within thirty (30) calendar days. You acknowledge that the Operator is not responsible for materials already distributed or content cached by third-party platforms prior to the end of this processing period.

13. SERVICE "AS-IS" AND TECHNICAL DISCLAIMER

• AS-IS Basis: The Platform is provided "AS-IS." Except in cases of intent or gross negligence, the Platform Operator makes no warranties regarding the continuous availability, error-free nature, or absolute security of the service.
• Third-Party Interruptions: The Operator is not liable for technical failures or server downtime caused by third-party hosting or infrastructure providers, provided that reasonable industry-standard measures have been implemented.

14. GOVERNING LAW AND EXCLUSIVE JURISDICTION

• Governing Law: These Terms, the linked Privacy Policy, and any non-contractual obligations or disputes arising out of or in connection with them shall be governed by, and construed in accordance with, the Laws of the Republic of Turkey (Türkiye Cumhuriyeti Kanunları).
• Exclusive Venue and Jurisdiction: You irrevocably agree that any legal action, suit, or proceeding arising out of or relating to these Terms, or the breach thereof, shall be instituted exclusively in the Istanbul (Central) Courts and Execution Offices (İstanbul Merkez Mahkemeleri ve İcra Daireleri) located at the Çağlayan Justice Palace.
• Scope of Jurisdiction: This grant of exclusive jurisdiction covers all civil, commercial, and execution proceedings (İcra takipleri). By using the Platform, you waive any objection to the laying of venue in such courts and any claim that such a forum is inconvenient (forum non conveniens).
• Statutory Rights: Nothing in this Section shall prevent the Platform Operator from seeking injunctive relief or other equitable remedies in any jurisdiction to protect its intellectual property or sensitive data, nor shall it supersede mandatory consumer protection laws that specifically grant a consumer the right to bring a claim in their local jurisdiction, where such laws cannot be derogated from by contract.

15. FORCE MAJEURE (MÜCBİR SEBEPLER)

• Limitation of Liability: The Platform Operator shall not be deemed in breach of these Terms nor liable for any delay in performing, or failure to perform, any of its obligations if such delay or failure results from events, circumstances, or causes beyond its reasonable control.
• Scope: Such events include, but are not limited to: natural disasters, strikes, interruptions in telecommunication or internet services (ISP failures), power outages, severe cyber-attacks (e.g., DDoS attacks), or government-imposed restrictions and legal changes.
• No Compensation: No compensation or refund shall be granted for service interruptions caused by Force Majeure events.

16. SEVERABILITY AND WAIVER

• Severability: If any provision or part-provision of these Terms is found by a court or competent authority to be invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the relevant provision shall be deleted. Such deletion shall not affect the validity of the remaining provisions.
• No Waiver: No failure or delay by the Platform Operator to exercise any right or remedy provided under these Terms or by law shall constitute a waiver of that right.

17. ENTIRE AGREEMENT AND CROSS-REFERENCE

• Legal Unity: These Terms, together with the Privacy Policy, constitute the entire and sole agreement between you and the Natural Person Platform Operator.
• Precedence: These documents supersede all previous agreements, promises, representations, and understandings between us, whether written or oral. You acknowledge that the Privacy Policy is a reciprocal and inseparable part of these Terms.

18. OFFICIAL COMMUNICATIONS AND NOTICES

• Digital Communication: You agree that all official notices, complaints, and legal inquiries will be conducted electronically. You may contact us at info@suggl.com.
• Service of Notice: Notices sent to you via the email address registered to your account shall be deemed received twenty-four (24) hours after the email is sent, provided no "delivery failure" notification is received by the Operator.

19. FINAL ACKNOWLEDGEMENT AND ACCEPTANCE

BY CREATING AN ACCOUNT, ACCESSING ANY FEATURES, OR CONTINUING TO USE SUGGL.COM, YOU EXPRESSLY ACKNOWLEDGE THAT:

1. YOU HAVE READ AND UNDERSTOOD THESE TERMS AND THE LINKED PRIVACY POLICY IN THEIR ENTIRETY.
2. YOU VOLUNTARILY AGREE TO BE BOUND BY EVERY CLAUSE, INCLUDING THE LIMITATION OF LIABILITY (KASIT VE AĞIR İHMAL HARİÇ) AND THE NO-REFUND POLICY.
3. YOU EXPRESSLY WAIVE YOUR RIGHT OF WITHDRAWAL FOR DIGITAL SERVICES UPON THE COMMENCEMENT OF THE SERVICE, SUBJECT TO THE CHECKBOX REQUIREMENT DEFINED IN SECTION 11.
